Gilead Sciences to acquire Tubulis to expand next-generation ADC capabilities

Gilead Sciences has agreed to acquire Tubulis for $3.15B upfront, plus up to $1.85B in milestones, strengthening its oncology pipeline with next-generation antibody-drug conjugate (ADC) technologies.

Tubulis a private Germany-based, clinical-stage biotechnology company generates uniquely matched antibody-drug conjugates with superior biophysical properties that have demonstrated durable on-tumor delivery and long-lasting anti-tumor activity in preclinical models and first clinical proof-of-concept in platinum-resistant ovarian cancer. The two lead programs from its growing pipeline, TUB-040, targeting NaPi2b, and TUB-030, directed against 5T4, are being evaluated in the clinic in high-need solid tumor indications.

For a bioprocess audience, the key impact lies in Tubulis’ integrated ADC platform, which combines proprietary conjugation chemistries with in-house discovery, manufacturing, and early clinical development. These technologies are designed to enable more precise payload attachment and improved stability, supporting selective tumor delivery and potentially better therapeutic indices.

Tubulis’ lead candidate, TUB-040 (a NaPi2b-targeting TOPO1 inhibitor ADC), is in Phase 1b/2, alongside TUB-030 (5T4-targeted ADC). Both assets highlight the platform’s ability to generate diverse, site-specific ADCs across solid tumor indications.
Post-acquisition, Tubulis will operate as a dedicated ADC R&D hub within Gilead, with its Munich site serving as a center for ADC innovation. Its integrated capabilities—from conjugation technology to GMP manufacturing—are expected to enhance Gilead’s end-to-end ADC development and production capacity.
The deal is expected to close in Q2 2026, pending regulatory approvals.
